Terms of Service
Rigor — Terms of Service
Effective date: September 12, 2026 Last updated: September 12, 2026
These Terms of Service ("Terms") govern access to and use of Rigor, the web application at withrigor.co, together with any related documentation, templates, and support (the "Service"). The Service is provided by AYDC LLC, a New York limited liability company doing business as "Rigor" ("Rigor," "we," "us").
By creating an account, accessing the Service, or agreeing to an order form or written agreement that references these Terms, you accept them. If you are accepting on behalf of a company, you represent that you have authority to bind that company, and "you" and "Customer" mean that company.
If a signed agreement between you and us covers the Service, that agreement controls where it conflicts with these Terms.
1. Definitions
Authorized User — an individual whom Customer permits to use the Service under Customer's account, including employees, contractors, board members, and advisors.
Customer Data — all information submitted to, uploaded to, or generated within the Service by or on behalf of Customer, including Candidate Data, scorecards, searches, evaluations, goals, notes, and organization records.
Candidate Data — personal information about individuals whom Customer is considering, has considered, or has interviewed for a role, including names, contact details, resumes, interview notes, transcripts, and evaluations.
Organization — a workspace within the Service representing Customer, to which Authorized Users, engagements, and Customer Data are scoped.
Output — text, evaluations, summaries, questions, scoring, and other material the Service generates using automated or AI-assisted processing in response to Customer's inputs.
Rigor Materials — the Service's underlying methodology, prompt architecture, scorecard structure, evaluation criteria and grading scales, question sets, assessment structure and headings, rubrics, templates, software, and documentation, together with all improvements to them.
2. Accounts, organizations, and access
2.1 Account registration. You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us promptly at hello@withrigor.co of any suspected unauthorized access.
2.2 Organization membership. Customer Data is scoped to an Organization. Any Authorized User with access to an Organization may be able to view, create, edit, or delete Customer Data within it, subject to the role assigned to them. Customer is responsible for assigning roles appropriately and for removing access when an Authorized User leaves.
2.3 Domain association. The Service may associate a new account with an existing Organization based on the email domain used at signup, where that domain has been claimed by and verified for that Organization. If your account is associated with an Organization in this way, administrators of that Organization can see your membership and the Customer Data you create within it. Do not use a domain-associated account for personal purposes. Organization administrators may remove a member's association at any time.
2.4 Advisor and partner access. Where Customer has an advisory engagement with an advisor or partner firm that uses the Service, Customer may grant that advisor access to Customer's Organization. Customer controls whether such access is granted and may revoke it. Advisors act on Customer's instructions with respect to Customer Data.
2.5 Right to use. Subject to these Terms, we grant Customer a non-exclusive, non-transferable right to access and use the Service during the term for Customer's internal business purposes.
3. Customer responsibilities
Rigor is a decision-support tool used in hiring and management. Employment decisions carry legal obligations that rest with the employer. Customer is solely responsible for the following.
3.1 Lawful collection and notice. Customer represents that it has collected all Candidate Data lawfully, has provided any notices required by applicable law to candidates and other individuals whose information it submits, and has obtained any consents required — including consents for recording or transcribing interviews.
3.2 Employment law compliance. Customer is responsible for complying with all laws governing its hiring and employment practices, including equal employment opportunity laws, anti-discrimination laws, laws restricting inquiries into salary history and criminal history, and laws governing background checks.
3.3 Automated employment decision tools. A growing number of jurisdictions regulate the use of automated or AI-assisted tools in employment decisions, including New York City Local Law 144.
Customer is responsible for determining and complying with the laws applicable to Customer's employment practices and to Customer's use of the Service, including any obligation imposed on Customer as an employer, employment agency, deployer, or user of an automated or AI-assisted employment tool — including any bias-audit, notice, disclosure, record-keeping, or human-review obligation.
We remain responsible for obligations that applicable law imposes directly on us as the provider or developer of the Service, and that cannot lawfully be allocated to Customer.
The Service does not make employment decisions. It produces decision-support information that Customer must independently review, and Customer will not use the Service as the sole or determinative basis for any employment decision.
3.4 Prohibited data. Customer will not submit to the Service: government-issued identification numbers; financial account or payment card numbers; medical or health records; biometric identifiers; information subject to HIPAA, GLBA, FERPA, or PCI-DSS; or information about individuals under 16.
Interview transcripts and resumes routinely contain incidental references to health, family, religion, national origin, and similar matters, and Customer does not breach these Terms by submitting content that happens to include them.
Customer will not, however, intentionally submit sensitive personal information for the purpose of having the Service evaluate an individual on that basis, and will not instruct or prompt the Service to evaluate, score, rank, or draw inferences about an individual based on race, ethnicity, national origin, religion, sex, sexual orientation, gender identity, age, disability, medical condition, pregnancy, veteran status, union membership, or any other characteristic protected by applicable law.
3.5 Authorized User conduct. Customer is responsible for its Authorized Users' compliance with these Terms and for their acts and omissions in connection with the Service.
3.6 Accuracy. Customer is responsible for the accuracy, quality, and legality of Customer Data and for the means by which it acquired that data.
4. Acceptable use
You will not, and will not permit anyone to:
- use the Service to make an employment decision without meaningful human review;
- use the Service to evaluate or screen individuals in a manner that discriminates on a basis prohibited by law;
- submit Candidate Data about an individual who has not applied to, been sourced for, or otherwise been considered for a role at Customer;
- attempt to obtain, or infer, Customer Data belonging to another Organization;
- reverse engineer, decompile, or attempt to derive the source code, prompt content, or model architecture of the Service, except where this restriction is unenforceable by law;
- assemble, compile, or analyze Output across evaluations for the purpose of reconstructing the Rigor Materials;
- copy, resell, sublicense, or make the Service available to any third party other than Authorized Users;
- use the Service or Output to build, train, or improve a competing product or a machine learning model;
- circumvent access controls, rate limits, or usage limits, or probe or test the security of the Service without our prior written consent;
- upload malicious code, or use the Service in a way that impairs its operation or another customer's use of it; or
- use the Service in violation of applicable law.
We may suspend access without notice if we reasonably believe conduct threatens the security, integrity, or availability of the Service, or exposes us or another customer to legal liability. We will restore access promptly once the cause is resolved.
5. AI-assisted features and Output
5.1 How Output is generated. The Service uses large language models, provided by third-party model providers, to generate Output from Customer's inputs and from Rigor's prompt architecture. Details of what is transmitted are in our Privacy Policy.
5.2 Output is advisory. Output may be inaccurate, incomplete, or inappropriate to Customer's circumstances. Output is not legal advice, and it is not a recommendation to hire, decline, promote, or terminate any individual. Customer must review Output and apply independent human judgment before acting on it. Similar inputs may produce different Output.
5.3 No cross-organization processing. We do not use Candidate Data from one Organization to generate Output for, match candidates to, or inform any recommendation in another Organization. This Section concerns the flow of Candidate Data between Organizations. It does not limit Section 6.7.
5.4 Ownership of Output, and what Output does not include. As between the parties, and to the extent any rights in Output exist, Customer owns the Output generated within its Organization, and we assign to Customer any right, title, and interest we may have in it. Output is Customer Data for purposes of these Terms — except that Output does not include, and Customer acquires no right, title, or interest in, any Rigor Materials appearing within it.
Output is produced by applying the Rigor Materials to Customer's inputs, and it will therefore contain elements of them. Those elements include, without limitation: method terminology and defined terms; evaluation criteria, grading scales, and the meaning assigned to each grade; question sets and the sequence in which they are asked; scorecard structure and component definitions; and the structure, section order, and headings of an assessment. These remain ours in every instance and in every evaluation in which they appear, however many times they are reproduced. Customer's ownership extends to the substance of the assessment as it applies to Customer's own candidates, roles, and business — not to the framework that produced it.
Nothing in this Section grants Customer any license to the Rigor Materials beyond the right to use, retain, and internally share Output as set out in Section 5.5.
5.5 What Customer may do with Output. Customer may use, copy, modify, store, and internally share Output for its own hiring, management, and record-keeping purposes without restriction, including sharing it with its own personnel, advisors, and counsel, and retaining it after termination.
Customer will not publish or distribute Output publicly, or make it available to any person outside Customer and its advisors, in a manner that discloses the Rigor Materials. Customer will not use Output to build, train, or improve a competing product or service, or to reconstruct the Rigor Materials.
5.6 Confidentiality of Rigor Materials within Output. The Rigor Materials appearing within Output are our Confidential Information under Section 7, and Customer's obligations under that Section apply to them. Customer's internal use and sharing of Output under Section 5.5 is permitted use of that Confidential Information and is not a breach of Section 7.
6. Customer Data
6.1 Ownership. As between the parties, Customer owns all right, title, and interest in Customer Data. We claim no ownership in it. This is subject to Section 5.4 with respect to Rigor Materials appearing within Output.
6.2 Our license. Customer grants us a non-exclusive, worldwide license to host, store, process, transmit, display, and create derivative works of Customer Data to provide, secure, support, and improve the Service, and as otherwise permitted by these Terms.
6.3 Our role. With respect to personal information within Customer Data, Customer is the controller (or business) and we act as processor (or service provider), processing that information only on Customer's documented instructions.
These Terms are Customer's documented instructions, and Customer instructs us to process Customer Data as described in them, including the service improvement described in Section 6.7.
Where data protection law requires a data processing agreement between the parties, we will enter into one on Customer's request, on terms consistent with these Terms and with our Privacy Policy, including the European Commission's Standard Contractual Clauses where a transfer mechanism is required. Our current subprocessors are listed in our Privacy Policy.
6.4 No training. We do not use Customer Data to train, fine-tune, or improve any machine learning model. We use model providers whose terms provide that customer inputs and outputs are not used to train their models, and we will not adopt a provider that does not.
6.5 Aggregate data. We may generate and use aggregated, de-identified statistical data about use of the Service — for example, feature usage counts and performance metrics — to operate and improve the Service. Such data will not identify Customer, any Authorized User, or any candidate. This Section governs aggregated statistical data only and does not limit Section 6.7.
6.6 Return and deletion. Customer may export Customer Data at any time during the term using available export functionality, or by request to us. Upon termination, we will make Customer Data available for export for thirty (30) days. After that period we delete Customer Data from active systems in accordance with our standard deletion procedures. Residual copies may remain in backups until those backups are overwritten or deleted in the ordinary course.
6.7 Service improvement. We test changes to the Service — including changes to the prompts and evaluation criteria that produce Output — by running existing Customer Data against them and reviewing the results. This is how we verify that a change improves the Service before it reaches customers.
Such testing is performed by our personnel only, produces no Output visible to any customer other than the one whose data was used, and creates no record outside that customer's Organization. We do not use Customer Data for any other development purpose.
7. Confidentiality
Each party may receive information of the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Data is Customer's Confidential Information. The Rigor Materials and non-public information about the Service are our Confidential Information, including where the Rigor Materials appear within Output.
The receiving party will use the disclosing party's Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to its personnel and advisors who need to know and are bound by comparable obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known without restriction before disclosure, is independently developed without use of the Confidential Information, or is rightfully received from a third party. Disclosure compelled by law is permitted if the receiving party gives prompt notice where legally allowed.
8. Intellectual property
We and our licensors retain all right, title, and interest in the Service and the Rigor Materials, including all methodology, prompt architecture, scorecard and evaluation structures, evaluation criteria and grading scales, question sets, software, and documentation, and all improvements to them. No rights are granted except as expressly stated in these Terms, and no right in the Rigor Materials passes to Customer by reason of their appearance within Output.
If you provide feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
9. Fees
The Service is currently provided at no charge.
We may introduce fees on at least thirty (30) days' written notice. Fees will apply only from the effective date of that notice, and never retroactively. If Customer does not wish to pay, its remedy is to terminate before the fees take effect, and Customer may export its Customer Data as set out in Section 6.6.
Where the Service is provided under an order form, that order form governs fees, billing frequency, payment terms, taxes, and renewal.
10. Term, suspension, and termination
10.1 Term. These Terms apply from the date you first access the Service until terminated.
10.2 Termination for convenience. Customer may terminate at any time by closing its account. While the Service is provided at no charge, no refund arises on termination. Where fees have been introduced under Section 9, fees already paid are not refundable and fees not yet due are cancelled.
10.3 Termination for cause. Either party may terminate if the other materially breaches these Terms and fails to cure within thirty (30) days of written notice, or immediately upon the other's insolvency or assignment for the benefit of creditors.
10.4 Effect. On termination, Customer's right to access the Service ends. Sections 5.4, 5.5, 5.6, 6.1, 6.6, 7, 8, 11, 12, 13, and 15 survive. Section 6.7 does not: we do not test against a former customer's data after the deletion period in Section 6.6.
11. Warranties and disclaimers
Each party warrants that it has the authority to enter into these Terms.
We warrant that we will provide the Service in a professional and workmanlike manner.
EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE, OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR HIRING, RETENTION, OR BUSINESS RESULT.
The Service is under active development. Features may change, and some features may be designated as beta or preview, in which case they are provided without warranty of any kind and may be modified or discontinued at any time.
12. Indemnification
12.1 By Customer. Customer will defend, indemnify, and hold us harmless from any third-party claim, and any resulting damages, losses, and reasonable legal fees, arising out of: (a) Customer Data, including any claim that Customer's collection, submission, or use of it violated law or a third party's rights; (b) Customer's employment decisions or hiring practices, including any claim by a candidate, applicant, or employee; (c) Customer's breach of Section 3, Section 4, or Section 5.5.
12.2 By us. We will defend, indemnify, and hold Customer harmless from any third-party claim that the Service, as provided by us and used in accordance with these Terms, infringes that third party's United States patent, copyright, or trademark, and will pay resulting damages finally awarded or amounts we agree in settlement. This obligation does not apply to claims arising from Customer Data, Output, modifications not made by us, or use of the Service in combination with anything not provided by us.
12.3 Procedure. The indemnified party must give prompt written notice, allow the indemnifying party to control the defense, and provide reasonable cooperation. No settlement imposing liability or an admission on the indemnified party may be made without its consent.
13. Limitation of liability
NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE THOUSAND US DOLLARS (USD 1,000).
EXCEPT THAT, FOR CLAIMS ARISING FROM A BREACH OF SECTION 7 OR FROM UNAUTHORIZED ACCESS TO OR DISCLOSURE OF CUSTOMER DATA, EACH PARTY'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED TEN THOUSAND US DOLLARS (USD 10,000).
These limits do not apply to Customer's obligations under Section 12.1, to Customer's breach of Section 4 or Section 5.5, to either party's fraud or willful misconduct, or to liability that cannot be limited by law.
14. Third-party services
The Service depends on third-party infrastructure and model providers, identified in our Privacy Policy. Their availability and performance are outside our control. If Customer connects the Service to a third-party service, Customer's use of that service is governed by its own terms, and we are not responsible for it.
15. General
Changes. We may modify these Terms. For material changes we will give at least thirty (30) days' notice by email or in-product notice. Continued use after the effective date constitutes acceptance. If Customer objects, its remedy is to terminate before the change takes effect.
Governing law and venue. These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and waive any objection to that venue. The UN Convention on Contracts for the International Sale of Goods does not apply.
Dispute resolution. Before filing any claim, the party raising it will give the other written notice describing the dispute and the relief sought, and the parties will attempt in good faith to resolve it for thirty (30) days. Either party may seek injunctive relief at any time to protect its intellectual property or Confidential Information without waiting out that period. If the dispute is not resolved within thirty (30) days, either party may proceed in the courts identified above.
Assignment. Neither party may assign these Terms without the other's consent, except to an affiliate, or to a successor in a merger, acquisition, reorganization, or sale of substantially all assets, on notice.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Publicity. We will not use Customer's name or logo publicly without Customer's prior written consent.
Notices. Notices to us go to hello@withrigor.co. Notices to Customer go to the email address on the account. Notice is effective on the business day after it is sent, absent a delivery failure.
Entire agreement; severability; waiver. These Terms, together with any order form and any data processing agreement executed under Section 6.3, are the entire agreement on this subject and supersede prior discussions. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver of it. There are no third-party beneficiaries. The parties are independent contractors.
